Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AiGenius Academy (the “Service”), provided by AiGeniusLLC (“AiGenius,” “we,” “us” or “our”). By creating an account, joining the waitlist, or using the Service, you agree to be bound by these Terms.

1. Eligibility and accounts

You must be at least 18 years old to create an account on your own behalf. Learners aged 6 to 17 may use the Service only through a parent or legal guardian account, with appropriate consent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. Subscriptions, billing and cancellation

2.1 Plans

We offer monthly subscriptions (Kids, Professional), one-time bootcamp purchases and corporate cohort plans. Pricing in effect at the time of purchase is displayed on the Service. We may change prices for future billing periods on at least 30 days' notice.

2.2 Renewal

Monthly subscriptions automatically renew at the end of each billing period until cancelled. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period — no further charges will be made, and you retain access until the period ends.

2.3 Refunds

• Monthly subscriptions are non-refundable for the current period after the billing date.
• Bootcamps are refundable within 7 days of purchase if you have not yet started the course.
• Corporate cohorts are governed by the separate corporate agreement between the parties.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Share, sell or transfer your account or course access to anyone else.
• Attempt to reverse engineer, scrape, harvest or extract our AI tutor outputs at scale.
• Upload or transmit malicious code, viruses or harmful content.
• Use the Service to harass, defame or harm any other person.
• Interfere with or disrupt the Service or its underlying infrastructure.

We may suspend or terminate accounts that violate these terms, with or without notice.

4. AI-generated content

Portions of the Service — including avatar lessons, tutor responses and explanations — are generated by artificial intelligence. While we work hard to ensure accuracy, AI output may sometimes be incomplete or incorrect. You are responsible for independently verifying any information used for medical, legal, financial or other consequential decisions.

5. Intellectual property

5.1 Our content

All curriculum, video, software, designs, trademarks and other materials on the Service are owned by AiGenius or our licensors and protected by copyright, trademark and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial educational purposes, subject to these Terms.

5.2 Your content

You retain ownership of any content you submit (e.g. project work, messages). You grant us a worldwide, royalty-free license to host, store and process your content as reasonably necessary to provide the Service.

6. Certificates

Certificates of completion are issued only when a learner has completed all required modules and assessments for a course. Certificates are non-transferable and do not constitute formal accreditation by any external academic body unless explicitly stated.

7. Third-party services

The Service integrates with third-party providers for payment processing, cloud hosting, video delivery and AI tutoring. Your use of those underlying providers' services may be subject to additional terms.

8. Disclaimers

The Service is provided on an “as is” and “as available” basis. We disclaim, to the maximum extent permitted by law, all warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that any specific learning outcome will be achieved.

9. Limitation of liability

To the maximum extent permitted by law, AiGenius and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of US$100 or the amount you paid to us in the 12 months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless AiGenius and its affiliates from any claims, damages, losses, liabilities and expenses arising out of your breach of these Terms, your misuse of the Service or your violation of any law or the rights of any third party.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide at least 30 days' notice by email or via the Service. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
